These Terms and Conditions govern your access to and use of the MGA Edu platform operated by Digiphils LTD Nigeria trading as MGA Edu Consult ("MGA Edu", "we", "our", or "us"). By using our website, applications, or services, you agree to be bound by these Terms and Conditions and our Privacy Policy.
1. Acceptance of Terms
Welcome to MGA Edu. These Terms and Conditions (the "Terms") apply to your use of the MGA Edu website located at `https://migrateabroadd.com` and any related sites, pages, or services operated by Digiphils LTD Nigeria (collectively, the "Platform").
By accessing or using the Platform, clicking "Accept" (or a similar button), or creating an account, you agree to be bound by these Terms and any other agreements, policies, or guidelines referenced in them, including our Privacy Policy. If you do not agree to these Terms, you must not use the Platform.
If you are using the Platform on behalf of a company, educational institution, agency, or other organization, you represent and warrant that you are authorized to bind that entity to these Terms and that "you" and "your" in these Terms will refer to both you personally and that entity.

In these Terms, the following definitions apply:
- "Platform" means the MGA Edu website and related web-based applications, tools, and services operated by Digiphils LTD Nigeria trading as MGA Edu Consult, used to support study applications, admissions, student and visit visa processes, and PR advisory services.
- "Services" means all consulting, advisory, application support, task management, dashboards, and other features or offerings made available through the Platform, including any associated communications and content.
- "Student" means an individual using the Platform or our Services to explore, prepare, or submit applications for study, visit visas, or immigration pathways.
- "Agency / Counselor / Partner" means any person or organization using the Platform to support students, manage applications, or collaborate with MGA Edu in delivering Services.
- "Personal Information" has the meaning given to it in our Privacy Policy and generally means information that can identify you directly or indirectly.
- "Content" means all text, data, images, videos, graphics, documents, and other materials made available on or through the Platform, including any information about study programs, schools, visa processes, and related opportunities.
- "You" / "your" means the person or entity accessing or using the Platform or Services.
3. Relationship to Our Privacy Policy
Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect your Personal Information. By using the Platform, you acknowledge that you have read and understood our Privacy Policy and agree that your information will be handled in accordance with it.
If there is any conflict between these Terms and the Privacy Policy, these Terms will govern with respect to the use of the Platform and Services, and the Privacy Policy will govern with respect to how we handle Personal Information.
4. Eligibility and Account Registration
To use certain parts of the Platform, you may need to register and create an account. When you do so, you agree to:

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business purposes in connection with study, visa, or PR planning and applications.
You agree that you will not:
- Use the Platform for any unlawful purpose or in violation of any applicable law or regulation in Nigeria, Canada, or any other relevant jurisdiction.
- Attempt to gain unauthorized access to any part of the Platform, other user accounts, or any systems or networks connected to the Platform.
- Copy, modify, reverse engineer, decompile, or attempt to extract source code from the Platform, except where such restrictions are prohibited by law.
- Upload or transmit any content that is unlawful, defamatory, abusive, fraudulent, misleading, or infringes the rights of others.
- Use the Platform to send spam, unsolicited messages, or any form of automated or bulk communications not expressly permitted by us.
- Use the Platform in a way that could damage, disable, overburden, or impair its operation or interfere with any other party's use of it.
6. Student Services and No Guarantee
MGA Edu provides advisory, application support, and coordination services to help students explore schools, prepare applications, and navigate visa and PR pathways. We do not issue offers of admission, visas, or immigration decisions. Those decisions are made solely by schools, embassies, consulates, and immigration authorities.
While we use our experience and best efforts to guide you, we cannot and do not guarantee:
- Admission to any particular school, program, or country.
- Approval of any visa, permit, or immigration application.
- Any specific scholarship, loan, or funding outcome, even where we help you explore or apply for such options.
You remain responsible for ensuring that all information and documents you provide are accurate, complete, and truthful, and for complying with all requirements of schools and government authorities.
7. Fees, Payments, and Third-Party Costs
Some of our Services may be offered free of charge, while others may attract fees, which will be communicated to you before you commit to those Services. By choosing to use any paid Service, you agree to pay the applicable fees as described at the time of purchase or engagement.
In addition to our own fees, you may be responsible for third-party charges, such as:
- School application fees and deposits.
- Visa application fees, biometric fees, and related charges.
- Language test fees, credential evaluation fees, or medical exam fees.
- Bank charges, transfer fees, or other financial service charges.
Unless we expressly state otherwise in writing, our fees are separate from and in addition to any third-party fees. Payment terms, refund eligibility, and related conditions will be explained to you for each specific service or package.
8. Your Responsibilities
When using the Platform and Services, you agree to:
- Provide complete and accurate information about your identity, academic background, finances, and immigration history.
- Promptly inform us of any changes in your circumstances that may affect your applications or eligibility.
- Carefully review all documents before submission and seek independent legal or immigration advice where necessary.
- Comply with all applicable laws, school rules, and immigration regulations in your home country and in any destination country.
9. Intellectual Property
All rights, title, and interest in and to the Platform and its Content (excluding content you submit) are owned by Digiphils LTD Nigeria or its licensors and are protected by copyright, trade mark, and other intellectual property laws.
You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any part of the Platform or Content except as expressly permitted in these Terms or with our prior written consent.
By submitting content or information to us (for example, feedback about the Platform), you grant us a non-exclusive, worldwide, royalty-free license to use such content in connection with operating and improving the Platform and Services. This does not override our obligations to handle Personal Information in accordance with our Privacy Policy.
10. Disclaimers and Limitation of Liability
The Platform and Services are provided on an "as is" and "as available" basis. While we aim to keep information accurate and up to date, we do not guarantee that:
- The Platform will be error-free, uninterrupted, or secure at all times.
- All information about schools, programs, visa policies, or immigration rules is current, complete, or suitable for your particular situation.
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the extent permitted by law, MGA Edu, Digiphils LTD Nigeria, and their directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or opportunities arising out of or in connection with your use of the Platform or Services.
In any case, and to the extent permitted by law, our total aggregate liability to you for any claims arising out of or related to the Platform or Services will be limited to the amount you have paid to us for the specific service giving rise to the claim, or, if no such payment was made, a reasonable amount representing direct losses only.
11. Indemnity
You agree to indemnify and hold harmless Digiphils LTD Nigeria, MGA Edu Consult, and their directors, officers, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform or Services in violation of these Terms or any applicable law; (b) your breach of any representation or warranty in these Terms; or (c) any content or information you provide that infringes the rights of a third party or is otherwise unlawful.
12. Suspension and Termination
We may suspend or terminate your access to the Platform or Services at any time, with or without notice, if we reasonably believe that you have breached these Terms, that your account is being misused, or that such action is necessary to protect our business, other users, or comply with legal obligations.
Upon termination, your right to use the Platform will cease immediately. Sections of these Terms that by their nature should survive termination (such as intellectual property, limitations of liability, indemnity, and governing law) will continue to apply.
13. Governing Law and Dispute Resolution
These Terms and your use of the Platform will be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law rules.
Any disputes arising out of or relating to these Terms or the Platform will, in the first instance, be discussed in good faith between you and us. If not resolved amicably, disputes will be subject to the exclusive jurisdiction of the courts of Nigeria, unless otherwise required by mandatory law in a different jurisdiction.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, business, or legal obligations. When we make material changes, we will update the "Last Updated" date at the top of this page and may provide additional notice (for example, by email or in-app notification). Your continued use of the Platform after such changes take effect will constitute your acceptance of the updated Terms.
